We have extensive experience in structuring, negotiating, and closing real estate joint venture transactions in connection with many acquisitions. We represent financial partners, operating partners, and groups that finance operating partner co-investments.

Because we’ve worked with both financial partners and operating partners, we take a specific and detailed approach to due diligence, deal negotiation, and documentation. Representative Matters

  • Represented an institutional investor in a $600M+ mixed-use development in California, including over 700 residential units and 75,000 square feet of retail. The capital stack involved a senior construction loan, mezzanine financing, preferred equity, and a joint venture equity investment. Our team advised on the joint venture structure and negotiated complex intercreditor and recognition agreements across multiple tiers of capital.
  • Represented a global asset manager in the sale and refinancing of a multi-state industrial portfolio, involving 12 properties across Ohio, California, and Missouri. The transaction included loan assumptions, new debt financings, and a contribution of assets into a new joint venture. The deal required intricate tax structuring and coordination among multiple parties to achieve liquidity and long-term financing goals.
  • Represented the equity provider in the formation of a joint venture for the acquisition and development of a 300+ unit Class A multifamily project. Our team handled all aspects of the transaction, including joint venture agreements, development management, construction contracts, loan documentation, and acquisition structuring for tax efficiency.
  • Represented a joint venture in a 650,000 square foot industrial lease in Texas, part of a broader 23-state portfolio. Our team regularly negotiates over a million square feet of industrial leases, including recent deals with national logistics and manufacturing tenants across multiple states.
