Robert Garner is a partner in Levenfeld Pearlstein’s Corporate and Tax Planning Practice Groups. He advises private equity sponsors, family offices, real estate investors, individuals, and closely held businesses on the tax structuring and execution of complex transactional matters.

Rob focuses his practice on designing and implementing tax-efficient structures for acquisitions, dispositions, recapitalizations, and reorganizations. He regularly serves as lead tax counsel on middle-market and sponsor-backed transactions, working closely with legal and financial deal teams to align tax strategy with commercial and economic objectives from the outset through closing. His practice includes significant experience in structuring investments and transactions involving partnership and pass-through entities, including the development and negotiation of complex operating agreements and investment arrangements. He advises clients on the tax aspects of capital structuring, waterfall and promote economics, and rollover and equity participation in negotiated transactions.

Rob also brings substantial experience in real estate tax planning, including structuring transactions to achieve tax deferral and efficiency in connection with investment, disposition, and reinvestment strategies. He is frequently engaged on matters involving tax-deferred and tax-advantaged structures, including like-kind exchanges and other sophisticated planning techniques. In addition, Rob advises on transactions involving family offices and closely held investment platforms, with a focus on integrating tax considerations into broader investment and succession planning strategies. Beyond transaction execution, Rob counsels clients on pre-transaction restructuring, tax diligence and risk assessment, and post-closing integration. He has extensive experience conducting federal and state tax diligence for acquisition targets and developing transaction models to support investment and structuring decisions.

Rob’s prior experience in transaction advisory and public accounting informs his pragmatic, commercially focused approach. Before joining Levenfeld Pearlstein, he was a Vice President in the Transaction Advisory Services Group at Duff & Phelps and held positions with PwC and McDermott Will & Emery.

  • What was your first pet?
    Growing up I had a turtle, a red-eyed tree frog, fish, a dog (Freddy), and a cat (Arnold).

  • What’s your favorite vacation spot?
    Walloon Lake, Michigan in the summer, and anywhere with ski runs in the winter.

  • What’s the best piece of advice you ever received?
    My grandfather always said “You can’t learn anything with your mouth open.” Listening to clients’ backgrounds and business stories is a fantastic source of continued education.

  • What was your very first job?
    As an animal lover, I wanted to be a veterinarian growing up. I worked at the local vet clinic after school.
