A partner in the firm’s Real Estate Practice Group, Steven represents clients in transactional matters, with a focus on transactions involving joint ventures. He structures and negotiates real estate joint ventures of various types, including platform-level joint ventures between sponsors and investors, joint ventures to syndicate general partner capital, and project-level joint ventures between sponsors and capital partners. He has significant experience with all aspects of joint venture transactions, including entity structuring, term sheet negotiation, and drafting and negotiating operating agreements.
Additionally, Steven frequently advises clients on corporate transactions, including private placements of equity capital and business acquisitions and dispositions, as well as organizational matters, including entity structuring and formation, corporate governance, management and dissolution. He has guided clients through the planning and implementation of multi-tiered organizational structures for business platforms, real estate projects, and investments. Steven combines his legal knowledge with practical business acumen to help clients achieve their objectives.
Steven earned his J.D., cum laude, from Northwestern University Pritzker School of Law and his B.S., with High Distinction, from Indiana University. A former certified public accountant, Steven worked as an auditor with Deloitte & Touche LLP before attending law school. He began his legal career at Latham & Watkins and was a shareholder at Polsinelli prior to joining the LP team. In his free time, watching movies and sports, listening to rock music and spending time with his wife and their four children.
