New Delaware Law Requires Businesses to Re-Register Trade Names (DBAs)

Effective June 2, 2025, Delaware is transitioning to a statewide, online-only process for all Trade Name (DBA) registrations under House Bill 40. This impacts any business operating under a Trade Name in Delaware — whether or not they are actively doing business in the state.

Here’s what businesses need to know about filing:

  • Prepare to file online. Filings must be made through the Delaware Division of Revenue’s One Stop portal. County Prothonotary Offices will no longer accept Trade Name filings, and paper forms, notarization, and manual filings are being eliminated.
  • Gather the necessary forms. A Certificate of Good Standing and business license are required for registration.
  • Understand location-based requirements. Businesses not actively operating in Delaware must obtain a Special Trade Name Only Business License.

Timeline and fees: 

  • The re-registration window opens June 2, 2025.
  • There is no state filing fee if you re-register by August 1, 2025.
  • Names are not reserved. Trade Names will be registered on a first-to-file basis.
  • There is a $25 state license fee, with a $25 annual renewal thereafter.
