On October 9, 2013, LP partners Steven Weiss and Michael Tuchman will be presenting at a day-long seminar for the Illinois Institute for Continuing Legal Education (IICLE), to be held at the University of Chicago's Gleacher Center. 

10:45-11:30 am: Steven Weiss will be covering "The LLC Operating Agreement." Get a run-down of the basics of LLCs – with a step by step through the LLC Operating Agreement. Gain insight into the general description and function of the agreement, and how to draft other important provisions – including a checklist of essential provisions when drafting your own.

2:00-3:00 pm: Michael Tuchman will cover "Special Situations: Series LLCs, Carried Interests & Tax Drafting."  The program will cover advising your clients on series LLCs, when to use them, when to avoid them and how they are taxed.  Michael also discuss the treatment of carried interests, and recent legislative efforts to tax them at higher rates.  Additionally, Michael will address drafting tax clauses in a standard LLC operating agreement.
