Russell is a partner and has been chair of the Corporate Practice Group since 2001. He concentrates his practice in mergers and acquisitions, joint ventures, and other complex corporate transactions including spin-offs, consolidations, management buy-outs and distressed asset transactions. He also serves as outside counsel to several businesses, and as a Certified Public Accountant brings a tax and financial focus to corporate transactions.
Clients have recognized Russell’s business judgment, as he serves on several boards of directors and advisory panels. Russell has served as an expert witness on merger and takeover transactions. Russell has substantial experience in advising clients on fiduciary duty issues and business litigation. Finally, as an outgrowth of his corporate, CPA and tax backgrounds, Russell as substantial experience in representing professional service organizations, including accounting irms, in their partnership agreements as well as in mergers and acquisitions.
Russell often speaks and writes on various corporate issues, and in 2005 he co-authored the chapter entitled Private Company Mergers for the Illinois Institute for Continuing Legal Education’s Business Law Series.
