Robert E. Connolly

Rob is an associate in Levenfeld Pearlstein’s Corporate Practice Group where he focuses on emerging companies, mergers and acquisitions, securities, and general corporate matters.

Rob helps entrepreneurs and startup companies at every stage of life: from inception, to angel/venture capital-raising, through operational growth and, ultimately, to liquidity and other realization events.

Rob also works with privately held businesses across a broad range of industries in the middle market in negotiating and consummating acquisition and disposition transactions, including mergers, asset and stock transactions, and ESOP transactions. Most recently, he served as co-lead counsel with respect to the sale of an IT consulting firm to a private equity firm.

Rob’s securities experience includes representing private companies, investment funds, institutional investors, and high net worth individuals with respect to a variety of matters, including private offerings, due-diligence investigations, and regulatory compliance. Among the clients with whom Rob works are hedge funds, family offices, onshore funds, offshore funds, and investors.

Additionally, Rob represents clients across a range of transactional and commercial matters, including negotiating, drafting and reviewing agreements relating to entity formation, operation and governance, capital-raising activities, acquisitions and dispositions of assets, reorganizations, joint ventures, consulting and vendor relationships, and terms and conditions of purchase and sale. In particular, he has significant experience with negotiating and drafting outsourcing and consulting agreements relating to various IT services.
