Howard is a partner in the Corporate Practice Group, and has more than 25 years of experience in business and corporate law. He counsels clients on mergers, acquisitions, consolidations, reorganizations, recapitalizations and the structuring and maintenance of business entities, including corporations, partnerships, joint ventures and limited liability companies.
His corporate experience also extends to employment-related matters, including violations of restrictive employment covenants and non-solicitation agreements, ownership and management succession planning, partnership disputes and the defense and prosecution of claims against corporations and corporate directors, officers and shareholders in third-party and derivative suits involving breaches of fiduciary duty, self-dealing, corporate waste and RICO.
Howard also represents clients in the enforcement of their contractual and statutory rights as creditors, as well as financial workouts and bankruptcy proceedings. He has been involved in numerous out-of-court restructurings and workouts, compositions, assignments for benefits of creditors, non-bankruptcy liquidations, and sales of assets.
