About the program:
The panel will review an actual ESOP transaction from both the legal and business perspectives and help define the types of transactions most suitable for ESOPs and explain the tax and non-tax benefits of these types of transactions.
This presentation will provide a summary of the criteria for an "ESOP transaction feasibility" analysis to help a business owner and management determine whether an ESOP transaction is the best ownership succession strategy. The panelists will discuss the steps which need to be taken once the company and the selling shareholders decide to do an ESOP transaction and will explain the roles of the professional advisors in the transaction (i.e. company management, selling shareholders, accountants, company counsel, ESOP Committee/trustee, lender, valuation consultant, etc.).
